Administration
In accordance with the provisions of the Finnish Limited Liability Companies Act and the company’s Articles of Association, the management of Fodelia is divided between the General Meeting, the Board of Directors and the Chief Executive Officer.
Shareholders participate in the management and supervision of the company through decisions taken at general meetings. General meetings are usually convened by the board of directors. Furthermore, a general meeting must be held if the company’s auditor or shareholders whose shares represent at least one-tenth of all the company’s shares request in writing that a meeting be held to deal with a specific matter.
The Board
The company’s Board of Directors has overall responsibility for the management and proper organisation of the company’s operations. The Board of Directors guides and supervises the company’s executive management, appoints and dismisses the Chief Executive Officer, and is responsible for other duties assigned to the Board in the Articles of Association and as provided for in the Limited Liability Companies Act or elsewhere.
In accordance with Fodelia’s Articles of Association, the company’s Board of Directors is elected at the Annual General Meeting for a term of office that ends at the close of the next Annual General Meeting following the election. The Board of Directors elects a Chair from among its members. The Board of Directors comprises between 3 and 7 ordinary members. At present, the company’s Board of Directors consists of six members.
Chief Executive Officer and Group Executive Committee
Under the company’s Articles of Association, the company has a Chief Executive Officer, who is appointed and dismissed by the Board of Directors.
With effect from 24 November 2026, the Group’s Executive Management Team will comprise, in addition to the Group Chief Executive Officer, the CFO, the Head of HRD, and Feelia’s Commercial Director and Production Director. The role of the Group Executive Team is to provide the Fodelia Group with a strategic perspective on operational management.
